The company provides business management consulting, administrative systems consulting, operational compliance consulting, strategic planning services, and process design and optimization.

Use of the Website

You may use this website for lawful purposes and to learn about our services or contact our business.

You agree not to use the website to engage in unlawful conduct, interfere with website functionality, attempt unauthorized access, distribute malicious software, submit knowingly false information, or infringe the rights of others.

We reserve the right to restrict access to the website when reasonably necessary to protect its security, integrity, or lawful operation.

Consulting Services

The information on this website describes our general service offerings and is provided for informational purposes.

The specific services, scope of work, deliverables, responsibilities, timelines, and applicable fees for a consulting engagement will be established in a written proposal, statement of work, service agreement, or other written confirmation accepted by the parties.

If an individual service agreement conflicts with these website terms, the service agreement will control for that engagement to the extent of the conflict.

Pricing and Fees

Pricing is determined on a project-by-project or engagement basis, taking into account the scope, complexity, anticipated work, deliverables, and other agreed requirements.

Any applicable rates, fixed fees, additional charges, and payment schedules will be communicated in the applicable proposal, invoice, or service agreement before the relevant work begins.

Unless otherwise agreed in writing, changes to the scope of work may result in additional fees, revised timelines, or both.

Any applicable taxes or transaction-related charges will be disclosed or applied as required by law and the relevant agreement.

Payment Terms

Payment obligations are established in the applicable invoice or written service agreement.

Unless different terms are expressly agreed in writing, invoices are due within thirty calendar days of the invoice date.

Clients are responsible for paying the amounts properly due for services provided and approved expenses or other charges specified in the applicable agreement.

Payments may be processed through third-party payment providers, including Stripe where available.

Payment information submitted through a third-party processor is subject to that processor's applicable terms and privacy practices.

Late Payments

If an undisputed amount remains unpaid after its due date, Paideia Resources Inc. may provide notice of the outstanding balance and request payment.

To the extent permitted by applicable law and the relevant agreement, overdue amounts may be subject to reasonable late charges disclosed in the applicable agreement or invoice.

We may suspend or delay further work after reasonable notice if a material payment obligation remains outstanding.

Any suspension will be handled in accordance with the applicable service agreement and governing law.

Nothing in this section authorizes charges that are prohibited by law.

Cancellations and Refunds

Cancellation rights, notice requirements, and any applicable cancellation fees for consulting engagements will be governed by the relevant service agreement or written project terms.

Fees for services already performed, work completed, and approved nonrecoverable expenses are generally not refundable, except where required by law or expressly agreed in writing.

If a client has paid in advance for services that have not been performed, any eligible refund will be determined according to the service agreement, the work completed, applicable expenses, and governing law.

Clients should submit cancellation or refund requests in writing using the contact details provided by the company.

We will review requests in good faith and communicate the outcome.

Nothing in this section limits rights that cannot lawfully be waived.

Changes to Project Scope

A request to add, remove, or materially change agreed services may require written approval and an adjustment to pricing, deliverables, or timelines.

Paideia Resources Inc. is not required to begin additional work outside the agreed scope until the parties have confirmed the applicable changes.

No Guarantee of Results

Business consulting recommendations are based on the information available, the agreed scope of work, and professional judgment.

Business outcomes may depend on factors outside our control, including client decisions, implementation, market conditions, staffing, third-party performance, and changes in law or industry practices.

We do not guarantee specific financial results, business growth, cost savings, compliance outcomes, or other results unless a specific written agreement expressly provides otherwise.

Professional Limitations

Our consulting services are intended to support business management and operational decision-making.

Unless expressly agreed in writing and legally permitted, our services do not constitute legal advice, legal representation, accounting advice, tax advice, investment advice, or a formal audit, certification, or guarantee of regulatory compliance.

Clients remain responsible for their own business decisions and for obtaining specialized professional advice when needed.

Unless otherwise stated in a written agreement, the website and its original content, branding, text, design elements, and other materials owned by Paideia Resources Inc. are protected by applicable intellectual property laws.

You may view the website and use its content for personal or internal business reference.

You may not reproduce, distribute, modify, publish, sell, or commercially exploit protected materials without prior written permission, except where applicable law permits such use.

Information and materials created specifically for a client engagement will be governed by the applicable service agreement, including any provisions regarding ownership, licenses, confidentiality, and permitted use.

Confidentiality

Each party may receive confidential business, operational, financial, or other nonpublic information during a consulting engagement.

The parties are expected to handle such information responsibly and use it only for the purposes for which it was disclosed, subject to applicable law and any written confidentiality agreement.

Information that is public through no breach, already lawfully known, independently developed, or lawfully obtained from another source may not be confidential.

Any additional confidentiality obligations will be governed by the applicable written agreement.

Disclaimer of Warranties

To the extent permitted by applicable law, the website and its general informational content are provided on an as-available basis without warranties of uninterrupted availability, error-free operation, or suitability for a particular purpose.

Nothing in these terms excludes a warranty or consumer protection that cannot lawfully be excluded or limited.

Limitation of Liability

To the extent permitted by applicable law, Paideia Resources Inc. will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from use of the website or reliance on general website information.

For paid consulting services, any limitation of liability will be subject to the applicable service agreement and governing law.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or other matters where such limitation is prohibited.

Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising directly from your unlawful use of the website, your material violation of these terms, or your infringement of another person's rights.

This provision does not apply to the extent a claim results from the company's own conduct for which responsibility cannot lawfully be excluded or transferred.

Suspension and Termination

We may suspend or restrict website access where reasonably necessary for security, maintenance, legal compliance, or the prevention of misuse.

The termination of a consulting engagement will be governed by the applicable service agreement and any nonwaivable rights under applicable law.

Ending access to the website does not eliminate payment obligations or other rights and responsibilities that have already accrued.

Governing Law

These terms will be interpreted in accordance with applicable laws governing the relevant transaction and any valid governing-law provision in a written service agreement.

Where no such provision applies, the governing law and jurisdiction will be determined under applicable conflict-of-law rules.

Nothing in these terms removes rights or protections that mandatory law grants to a user or client.

Changes to These Terms

We may revise these Terms and Conditions from time to time to reflect changes in our services, business practices, or legal obligations.

Updated terms will be posted on the website with a revised effective date.

Changes will apply prospectively unless otherwise permitted by law.

Continued use of the website after updated terms are posted constitutes acceptance of the revised terms to the extent permitted by law.
